1. Scope of Application
This Return and Refund Policy (hereinafter "Policy") applies to all sales of goods, machinery, and products made by Silpar S.A.S. (hereinafter "Silpar" or "the Seller"), with registered office at Viale Commercio 300, 27029 Vigevano (PV), Italy, to any purchaser, whether a commercial operator (B2B) or a private consumer (B2C), regardless of the purchaser's nationality or country of residence.
Acceptance of a commercial offer, quotation, or invoice issued by Silpar implies full and unconditional acceptance of this Policy, which is considered an integral part of every sales contract.
2. General Principle – Exclusion of Right of Return
Except as expressly provided in Article 4 of this Policy (Limited Warranty), Silpar does NOT accept returns of any kind and does NOT issue refunds, partial or total, of the price paid for purchased goods.
In particular, the following are excluded:
-
returns due to change of mind or customer dissatisfaction;
-
returns due to alleged incompatibility of the product with the customer's intended use, unless such compatibility was expressly guaranteed in writing by Silpar;
-
returns due to delivery delays attributable to third-party carriers, customs authorities, or force majeure events;
-
total or partial refunds of the purchase price under any circumstances.
3. B2C Consumer Sales – Right of Withdrawal
Where the purchaser qualifies as a consumer under applicable Italian and European consumer protection law (Legislative Decree 206/2005 – Consumer Code) and the sale took place under a distance or off-premises contract, the consumer may exercise the right of withdrawal within 14 (fourteen) days of receipt of the goods, pursuant to Article 52 of the Consumer Code.
In such cases, the following conditions apply:
-
the product must be returned intact, unused, in its original packaging, and complete with all accessories;
-
return shipping costs are the exclusive responsibility of the consumer;
-
Silpar will not refund original shipping costs incurred for delivery;
-
any refund legally required will be issued within 14 days of receiving the returned goods in compliance with these terms, less any restoration costs;
-
the right of withdrawal is excluded for goods made to measure or clearly customised at the customer's request.
B2B sales (between commercial operators and professionals) are expressly excluded from the right of withdrawal provided by the Consumer Code.
4. Limited Warranty – Replacement of Defective Parts
Silpar S.A.S. recognises a limited warranty covering only conformity defects existing at the time of delivery, subject to the following cumulative conditions:
-
the defect must be reported in writing (via email) within 8 (eight) working days of receipt of the goods or discovery of a hidden defect, failing which the warranty claim shall be forfeited;
-
the defect must be documented with photographic and/or video evidence demonstrating its existence and extent;
-
the goods must not have been tampered with, modified, or repaired by personnel not authorised by Silpar;
-
the goods must have been installed and used in accordance with the technical instructions provided by Silpar;
-
the defect must not be attributable to normal wear and tear, improper use, accidental events, or external causes.
The sole remedy under this warranty is the replacement of the part or component recognised as defective by Silpar following technical assessment. Under no circumstances shall a refund of the purchase price or return of the entire machine be provided.
Return shipping costs for the defective part to Silpar are the responsibility of the purchaser; re-shipment of the replacement part will be at Silpar's expense. The warranty has a validity of 12 months after the date the product has been received.
5. Limitation of Liability
Silpar S.A.S. shall not be liable under any circumstances for:
-
indirect or consequential damages, loss of profit, loss of production, or any other damage arising from product malfunction;
-
damages caused by improper installation carried out by the purchaser or unauthorised third parties;
-
damages caused by external agents, voltage fluctuations, weather events, flooding, fire, or any force majeure event;
-
discrepancies between the purchaser's subjective expectations and the technical characteristics of the product, where the latter were correctly represented in the commercial offer.
6. Warranty Claim Procedure
All warranty claims must follow the mandatory procedure below:
-
Submit written notice to Silpar S.A.S. by email, within the deadlines set out in Article 4, with the subject line: "Warranty Claim – [Invoice Number] – [Purchase Date]";
-
attach photographic/video documentation of the defect;
-
await Silpar's written technical assessment within 15 working days;
-
proceed to ship the defective part only upon Silpar's written authorisation (RMA – Return Merchandise Authorization).
Claims that do not follow the above procedure will not be considered.
7. Jurisdiction and Governing Law
This Policy and any sales contract concluded with Silpar S.A.S. are governed by Italian law.
For any dispute arising from this Policy or from sales contracts, the parties agree that exclusive jurisdiction shall vest in the Court of Pavia (PV), Italy, expressly excluding any other court, including any concurrently competent court.
For international B2B sales, to the extent that the United Nations Convention on Contracts for the International Sale of Goods (CISG, Vienna 1980) would otherwise apply, the parties expressly exclude its application pursuant to Article 6 of the Convention, unless otherwise agreed in writing.
8. Policy Amendments
Silpar S.A.S. reserves the right to amend this Policy at any time. Amendments shall take effect from the date of publication on the Silpar website or from the date of inclusion in a commercial offer. The version applicable to each contract is the one in force at the date of the offer or invoice.
